1. Acceptance of Terms
Welcome to Propvera. By accessing or using our hospitality management software platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
2. Description of Services
Propvera provides a cloud-based hospitality management platform that includes, but is not limited to:
- Point of Sale (POS) system
- QR menu and ordering
- Cloud kitchen management
- Inventory and recipe management
- Staff management and scheduling
- Customer relationship management (CRM)
- Analytics and reporting
- Property management system (PMS) for hotels
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.
3. User Accounts and Tenants
Account Registration
To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
Multi-Tenant Architecture
Our Service uses a multi-tenant architecture. Each business ("Tenant") has its own isolated data environment. You may not access or attempt to access data belonging to other tenants.
Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.
4. Fees and Payment
Pricing Model
Propvera operates on a pay-per-feature model. You only pay for the features you activate and use. Pricing for each feature is displayed on our Pricing page and may be updated from time to time.
Free Trial
We offer a 14-day free trial with full access to all features. No credit card is required to start the trial. After the trial period, you must activate and pay for the features you wish to continue using.
Billing
- Fees are billed monthly in advance
- You can add or remove features at any time
- Pro-rated charges apply when adding features mid-month
- Pro-rated credits apply when removing features mid-month
- All fees are non-refundable except as required by law
Payment Methods
We accept major credit cards, debit cards, and other payment methods as displayed during checkout. Payments are processed securely through PayU. You authorize us to charge your payment method for all fees incurred.
Late Payment
If payment is not received by the due date, we reserve the right to suspend your access to the Service until payment is made. We may also charge late fees as permitted by law.
5. Acceptable Use Policy
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Upload or transmit viruses, malware, or malicious code
- Collect or harvest information about other users
- Use the Service to send spam or unsolicited communications
- Reverse engineer, decompile, or disassemble the Service
- Remove or modify any proprietary notices or labels
- Use the Service to compete with us or develop a competing product
- Violate any applicable laws, including but not limited to GST regulations and food safety standards
6. Data and Privacy
Your Data
You retain all rights to the data you input into the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide the Service to you.
Data Security
We implement industry-standard security measures to protect Your Data, including:
- Encryption of data in transit (TLS 1.3) and at rest (AES-256)
- Regular security audits and penetration testing
- Access controls and authentication mechanisms
- Secure data centers with 24/7 monitoring
However, no system is completely secure, and we cannot guarantee absolute security.
Data Backup and Export
We perform regular backups of Your Data. You can export Your Data at any time in standard formats (CSV, Excel, JSON). There are no export fees.
Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7. Service Availability and Maintenance
Uptime
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and are not liable for any downtime.
Scheduled Maintenance
We may perform scheduled maintenance that temporarily interrupts the Service. We will provide advance notice when possible, typically during off-peak hours (2:00 AM - 4:00 AM IST).
Emergency Maintenance
We may perform emergency maintenance without notice to address security issues or critical bugs.
8. Intellectual Property
Our Rights
The Service, including all software, designs, text, graphics, logos, and other content, is owned by Propvera and protected by copyright, trademark, and other intellectual property laws.
License to Use
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your business purposes, subject to these Terms.
Feedback
If you provide us with feedback or suggestions about the Service, we may use that feedback without any obligation to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
- WE ARE NOT LIABLE FOR ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Propvera and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your Data or content you submit to the Service
11. Governing Law and Dispute Resolution
Governing Law
These Terms are governed by the laws of India, without regard to its conflict of law provisions.
Dispute Resolution
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.
Jurisdiction
The courts of Mumbai, India shall have exclusive jurisdiction over any disputes that cannot be resolved through arbitration.
12. Termination
Either party may terminate this agreement at any time. Upon termination:

- Export your data within 30 days
- Receive prorated refunds where applicable
Our Rights
- Suspend service for non-payment
- Terminate for Terms violations
- Delete data after 30-day retention period
